    Description

    We are seeking a highly skilled Corporate Governance Specialist to join our team at Professional Employers (Pvt.) Ltd.

    The successful candidate will be responsible for ensuring the smooth functioning of our company's governance structure, including liaison with regulatory bodies and maintenance of statutory records.

    Key Responsibilities:

    • Liaising with SECP, Registrar Joint Stock Companies, Stock Exchanges, CDC, State Bank of Pakistan, to ensure compliance with all relevant regulations and laws.
    • Preparing and maintaining resolution and ensuring timely execution and completion of all planned activities under external audit.
    • Maintaining statutory registers and filing annual returns in a timely manner.
    • Holding various statutory records and making them available for inspection where required.
    • Organizing and coordinating meetings of directors, members, and committees, including preparing agendas and circulating board packs and members' resolutions paperwork.
    • Preparing, circulating, and maintaining records of Minutes of Meetings.
    • Maintaining all documents pertaining to COCG and liaising with external auditors for certification.
    • Handling and maintaining dividend registers, ensuring proper deduction of applicable Zakat and income taxes.
    • Submitting monthly returns to SBP, SRB, and PRA.
    • Cordinating with external auditor to comply with certification of Free float and R/TA reconciliation and submitting the same to Stock Exchange and CDC respectively.

    Requirements:

    • A graduate degree in a relevant field, such as ACA or ACCA Member, MBA in finance.
    • 2-3 years of experience in case of ACA or ACCA, or 4-5 years of listed company experience in case of masters degree.

    Location: The position is based at Karachi.

    Estimated Salary: PKR 250,000 - PKR 300,000 per annum, depending on experience and qualifications.
